Terms of Service

These Terms of Use (these “Terms”), govern the access to and use of the SA Chai website, including the various data, graphics, images, information, pictures, and text (the "Content") owned and offered by SA Chai Holdings ("SA Chai" and including any affiliate, parent, or subsidiary). The access and/or use of the Content by any individual, corporate entity, or other third-party (collectively referred to as “You” or “Your” herein) is conditioned on Your acceptance of and compliance with these Terms. By accessing or using the Content You agree to be bound by these Terms. The Content is offered to You under a non-exclusive license by SA Chai so You can use and enjoy it on Your personal computer or other electronic or mobile device as long as You follow these Terms. By accessing and/or using the Content You acknowledge and agree to abide by these Terms (including the Privacy Policy described below) and You expressly consent to SA Chai’s access to, collection of, use of, and sharing the information as described herein.

Subject to Your compliance with these Terms, SA Chai hereby grants You permission to access and use the SA Chai Content, provided that: (i) You always completely and fully comply with the terms and conditions of these Terms; (ii) You do not charge for or resell access to or use of the Content to others; (iii) You do not copy, distribute, duplicate, give access to, or transfer any part of the Content in any medium without SA Chai's prior written authorization; and (iv) You will not attempt to alter, modify, or reverse engineer any part of the Content without SA Chai’s prior written approval.

1. Basic Terms

You are responsible for Your use of the Content, and for any consequences thereof. You may use the Content only if You can form a binding contract with SA Chai and are not a person, entity, or third-party barred from accessing the Content under the laws of any applicable jurisdiction. If You are accepting these Terms and using the Content on behalf of a company, organization, government, legal entity, or other third-party You represent and warrant that You are authorized to do so. You may use the Content only in compliance with these Terms and all applicable local and international laws, rules, and regulations.

The Content that SA Chai provides is always evolving and the form and nature of the Content that SA Chai provides may change from time to time without prior notice to You. In addition, SA Chai may stop (permanently or temporarily) providing all or any part of the Content to You and may not be able to provide You with prior notice. SA Chai also retains the right to create limits on use at its sole discretion at any time without notice to You.

The Content may include advertisements or sponsored material. The types and extent of advertising or sponsored content by SA Chai in connection with the Content is subject to change. In consideration for SA Chai granting You access to and use of the Content, You agree that SA Chai and any of its third-party providers and partners may place such advertising or sponsored material with the Content or in connection with the display of Content or information from the Content.

2. Privacy

Any personal information that You provide to SA Chai is subject to its Privacy Policy, which governs its collection and use of Your information. You understand that through Your use of the Content You consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information for storage, processing and use by SA Chai. As part of providing You the Content, SA Chai may need to provide You with certain communications, such as service announcements and administrative messages. These communications are considered part of the Content which You may not be able to opt-out from receiving. Subject to applicable laws and regulations, SA Chai will only use Your Personal Information (as defined in the Privacy Policy) for so long as is necessary to fulfil the purposes as set out under these Terms and the Privacy Policy herein. However, it is important to note that communications made by You to SA Chai Content may put Your Personal Information in the hands of third-parties that SA Chai cannot control, such as hosting companies and data centers. In some cases, SA Chai may not be able to update, amend or remove Your Personal Information, in which case SA Chai will let You know why SA Chai is unable to do so.

3. SA Chai’s Rights

All right, title, and interest in and to the Content remains the exclusive property of SA Chai. The Content is protected by copyright, trademark, and other laws. Nothing in the Terms gives You a right to use the SA Chai name or any of the SA Chai trademarks, logos, domain names, and other distinctive brand features. SA Chai may change the name of the Content, in whole or in part, at any time and from time to time without prior notice to You. Any feedback, comments, or suggestions You may provide regarding SA Chai or the Content is entirely voluntary and SA Chai will be free to use such feedback, comments or suggestions as it sees fit and without any obligation to You.

4. Restrictions on Content and Use of the Content

You may not do any of the following while accessing or using the Content: (i) access, tamper with, or use non-public areas of the Content, SA Chai’s computer systems, or the technical delivery systems of SA Chai’s providers; (ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (iii) access or search or attempt to access or search the Content by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by SA Chai (and only pursuant to those terms and conditions); or (iv) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Content, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Content.

5. Intellectual Property Policy

SA Chai respects the intellectual property rights of others and expects users of the Content to do the same.

6. Ending These Terms

The Terms will continue to apply as long as you continue to use the Content. Nothing in this section shall affect SA Chai’s rights to change, limit or stop the provision of the Content without prior notice.

7. Disclaimers and Limitations of Liability

Please read this section carefully since it limits the liability of SA Chai and its subsidiaries, affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors (collectively, the “SA Chai Entities”). Each of the subsections below only applies up to the maximum extent permitted under applicable law. Some jurisdictions do not allow the disclaimer of implied warranties or the limitation of liability in contracts, and as a result the contents of this section may not apply to You. Nothing in this section is intended to limit any rights You may have which may not be lawfully limited.

A. The Content is Available "AS-IS"

You will be provided access to the Content and Content in consideration for Your agreement to these Terms. Your access to and use of the Content or any Content are at Your own risk. You understand and agree that the Content is provided to You on an "AS IS" and "AS AVAILABLE" basis. Without limiting the foregoing, to the maximum extent permitted under applicable law, THE SA CHAI ENTITIES DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The SA Chai Entities make no warranty and disclaim all responsibility and liability for: (i) the completeness, accuracy, availability, timeliness, security or reliability of the Content or any Content; (ii) any harm to Your computer system, loss of data, or other harm that results from Your access to or use of the Content or any Content; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Content; and (iv) whether the Content will meet Your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from the SA Chai Entities or through the Content, will create any warranty not expressly made herein.

B. Links

The Content may contain links to third-party websites or resources. You acknowledge and agree that the SA Chai Entities are not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by the SA Chai Entities of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from Your use of any such websites or resources.

C. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SA CHAI ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE CONTENT; or (ii) ANY CONDUCT OR CONTENT OF ANY THIRD-PARTY, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD-PARTIES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE SA CHAI ENTITIES EXCEED THE GREATER OF ONE THOUSAND UNITED STATES DOLLARS ($1,000.00) OR THE AMOUNT YOU PAID TO SA CHAI, IF ANY, IN THE PAST SIX (6) MONTHS FOR THE CONTENT GIVING RISE TO THE CLAIM (EXCLUDING ANY GOODS/SERVICES FOR WHICH YOU HAVE A SEPARATE AGREEMENT WITH SA CHAI THAT IS EXPLICITLY IN ADDITION OR IN PLACE OF THESE TERMS). THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT THE SA CHAI ENTITIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

8. General Terms

A. Waiver and Severability

The failure of SA Chai to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

B. Controlling Law and Jurisdiction

These Terms and any action related thereto will be governed by the laws of the Dubai International Financial Centre without regard to or application of its conflict of law provisions or Your state or country of residence. All claims, legal proceedings or litigation arising in connection with the Content will be brought solely in the courts located in the Dubai International Financial Centre, and You consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

C. Entire Agreement

These Terms and the Privacy Policy are the entire and exclusive agreement between SA Chai and You regarding the Content (excluding any goods/services for which You have a separate agreement with SA Chai that is explicitly in addition or in place of these Terms), and these Terms supersede and replace any prior agreements between SA Chai and You regarding the Content.

9. Third-Party Content

SA Chai Content may contain links to third-party content or website that are not owned or controlled by SA Chai. SA Chai has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party content or website. In addition, SA Chai will not and cannot censor or edit any content or any third-party website. By using the Content, You expressly acknowledge and agree that SA Chai shall not be responsible for any claims, damages, or other liability arising from or related to Your contact with or use of any third-party content or website.

You may arrive at the SA Chai Website or download the SA Chai mobile application from another website. In addition, the SA Chai Website may contain links to another website. Websites linked to or from the SA Chai Website are not under the control of SA Chai and it is possible that these websites have a different privacy policy. SA Chai’s Privacy Policy applies solely to Information acquired on the SA Chai Website or through the SA Chai Content. SA Chai accepts no responsibility or liability for any third-party website.

10. Prohibited Conduct

SA Chai reserves all rights not expressly granted in and to the Content. You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of any information or data obtained through the Content for any non-approved commercial purposes.

You agree not to use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," etc. or "load testers", etc. that accesses the Content in a manner that sends more request messages to the servers that SA Chai uses in a given period of time than a human can reasonably produce in the same period. SA Chai permits publicly recognized search engines permission to create publicly available searchable indices for SA Chai Content (but not caches or archives of SA Chai Content). SA Chai reserves the right to revoke these exceptions either generally or in specific cases. SA Chai prohibits any efforts to reverse-engineer the SA Chai Content or any aspect of SA Chai’s system, protocols, or any other attempts / efforts explore the boundaries of, modify, penetrate, or test SA Chai Content, the SA Chai system, or SA Chai protocols. You must secure our permission before You check, measure, test, or otherwise monitor any part of the SA Chai Content or any aspect of SA Chai’s system, protocols. You are prohibited from collecting or harvesting any Personal Information or using the Content for any commercial solicitation or spam purposes.

11. Age Restrictions

Protecting the privacy of young children is important to SA Chai. Therefore, no part of the SA Chai Content is directed to or intended to be used by persons under the age of 21 and SA Chai does not knowingly collect or use Information from persons under the age of 21. If You are under the age of 21, then please do not download the SA Chai mobile application and do not use any SA Chai Content. By accessing and using SA Chai Content You affirm that You are either more than 21 years of age, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms.

SA Chai encourages parents to be involved in the online activities of their children to ensure that their privacy is protected. Please contact SA Chai if You believe SA Chai has any Personal Information from any children under the age of 21.

12. Content Policy

SA Chai reserves the right to discontinue any aspect of the SA Chai Content at any time. SA Chai has sole and exclusive authority to determine which content posted is inappropriate and therefore may remove such content at its sole discretion. Please be advised that a reported piece of Content does not guarantee automatic removal after investigation by SA Chai. SA Chai reserves the right to remove Content without prior notice. SA Chai may also terminate You access to the Content for any or no reason. SA Chai reserves the right to decide whether Content is appropriate and complies with these Terms.

13. Copyright Policy

SA Chai does not permit copyright infringing activities and infringement of intellectual property rights through its Content. Please contact SA Chai immediately if You believe that something protected under Copyright Law is being infringed through the SA Chai Content. SA Chai will promptly investigate the matter and handle it accordingly. To file a copyright infringement notification, please send a written communication that includes substantially the following: (i) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (ii) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works; (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed and information reasonably sufficient to permit SA Chai to locate the material; (iv) information reasonably sufficient to permit SA Chai to contact the complaining party, including a physical address, telephone number, and an electronic mail address at which the complaining party may be contacted; (v) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

14. Trademarks

Trademarks of SA Chai may be registered in the United States, European Union, and elsewhere.

15. Security

We take security seriously. SA Chai makes commercially reasonable efforts to ensure physical, procedural, and technical protection of SA Chai’s networks, servers, and systems and to protect Personal Information from misuse, loss and unauthorized access. SA Chai cannot guarantee or warrant that data or information may not be accessed, altered, destroyed, or disclosed by a breach of any of SA Chai’s safeguards because no method of transmission over the Internet, or method of electronic storage, is 100% secure. Any data, information, or content that You transmit is done at Your own risk. Using unsecured Wi-Fi or other unprotected networks to submit messages is never recommended. You must notify SA Chai immediately of any breach of security or unauthorized use of Your computer or other electronic or mobile device. Although SA Chai will not be liable for Your losses caused by any unauthorized use of Your account, You may be liable for the losses of SA Chai or others due to such unauthorized use.

SA Chai’s systems and the communications networks through which You access SA Chai’s Content may be subject to security breaches and failures which are due to circumstances beyond SA Chai’s reasonable control. If SA Chai learns of a security systems breach, then SA Chai may attempt to notify You electronically so that You can take appropriate protective steps. SA Chai may post a notice on the SA Chai Website if a security breach occurs.

16. Governing Law

SA Chai Content is intended for and directed to users around the world, which such SA Chai Content is not prohibited. If You are accessing the SA Chai Website and SA Chai Content from a country or jurisdiction in which the Content is not permitted, or are in violation of any law or regulation, then You may not continue to use the SA Chai Content.

You agree that: (i) the SA Chai Content shall be deemed a passive service that does not give rise to personal jurisdiction over SA Chai, either specific or general, in jurisdictions other than the registered office of SA Chai; and (ii) that You agree that any legal dispute, including with respect to these Terms, shall be governed by governed by and construed under the laws of Dubai International Financial Centre. Any claim or dispute between You and SA Chai that arises in whole or in part from the SA Chai Content, or these Terms, shall be referred to and finally resolved by arbitration at the DIFC-LCIA Arbitration Centre in Dubai, UAE (“DIFC-LCIA”) under the Arbitration Rules of the DIFC-LCIA in force at the commencement of the arbitration and which Arbitration Rules are deemed to be incorporated by reference to this Clause. In relation to any such arbitration it is agreed that: (A) the seat of arbitration shall be the Dubai International Financial Centre, Dubai, UAE; (B) the number of arbitrators shall be one and he/she shall be appointed by the President of the DIFC-LCIA; (C) the arbitration proceedings shall be conducted in the English language and the arbitration award shall be in English; and (D) the arbitration award shall be final and binding on the Parties and shall be enforced through any court (including courts in the United Arab Emirates) having jurisdiction as to the enforcement thereof. The Parties agree that any claim or dispute that does not exceed USD $135,000 shall be referred to the Small Claims Tribunal of the DIFC Courts.

The parties, their representatives, other participants and the arbitrator shall hold the existence, content and result of the arbitration in confidence unless to the extent that disclosure is required by law or as is reasonably necessary to defend claims of procedural rights of the party making the disclosure.

These Terms, together with the Privacy Policy and any other legal notices published by SA Chai, including, but not limited to an end user license agreement (if any), shall constitute the entire agreement between You and SA Chai concerning the SA Chai Content. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of this these Terms shall be deemed a further or continuing waiver of such term or any other term, and SA Chai's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. SA Chai reserves the right to amend or modify these Terms at any time, and it is Your responsibility to review these Terms for any changes. If You do not agree to the revised Terms, Your only recourse is to discontinue the use of the SA Chai Content. Your continued use of the SA Chai Content following any amendment of these Terms will signify Your assent to and acceptance of its revised terms. YOU AND SA CHAI AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SA CHAI CONTENT MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED. SA Chai makes no representations that the SA Chai Content is appropriate or available for use in the jurisdiction in which you live and/or are accessing the Content. Those who access or use the SA Chai Content do so at their own volition and are responsible for compliance with the local law to which they are subject.

17. Changes to Policy

From time to time, SA Chai may revise these Terms. SA Chai reserve the right to update or modify these Terms, or any other of SA Chai’s policies or practices, at any time with or without notice. You agree to review these Terms periodically so that You are aware of any modifications. Your continued use of the SA Chai Website indicates Your assent to any changes and signifies Your agreement to these Terms. If You do not agree with these Terms, You should not use the SA Chai Website, the SA Chai mobile application, or any other Content.

18. Disclaimer

YOU AGREE THAT YOUR USE OF THE SA CHAI CONTENT SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, SA CHAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE CONTENT AND YOUR USE THEREOF. SA CHAI MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS CONTENT AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY: (I) ERRORS, MISTAKES, OR INACCURACIES; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE CONTENT; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF SA CHAI’S SERVERS (OR THE SERVERS THAT SA CHAI USES) AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE CONTENT; (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE CONTENT DUE TO THE ACTIONS OF ANY THIRD PARTY; AND (V) ANY ERRORS OR OMISSIONS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT OR INFORMATION MADE AVAILABLE THROUGH THE SA CHAI CONTENT. SA CHAI DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SA CHAI CONTENT OR ANY HYPERLINKED WEBSITE OR FEATURED BY ANY USER OR OTHER ADVERTISING, AND SA CHAI WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR CONTENT. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT.

IN NO EVENT SHALL SA CHAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY: (I) ERRORS, MISTAKES, OR INACCURACIES; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE CONTENT; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF SA CHAI’S SERVERS (OR THE SERVERS THAT SA CHAI USES) AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE CONTENT; (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE CONTENT DUE TO THE ACTIONS OF ANY THIRD-PARTY; AND (V) ANY ERRORS OR OMISSIONS OR FOR ANY LOSS OR DAMAGE OF ANY KIND (WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SA CHAI IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) INCURRED AS A RESULT OF THE USE OF ANY CONTENT OR INFORMATION MADE AVAILABLE THROUGH THE SA CHAI CONTENT. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOWLEDGE THAT SA CHAI SHALL NOT BE LIABLE FOR STATUS UPDATES OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD-PARTY.

You agree to defend, indemnify and hold harmless SA Chai, its parent corporation and/or affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) Your use of and access to the SA Chai Content; (ii) Your violation of any term of these Terms of use; (iii) Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that Your status caused damage to a third-party. This clause will survive deactivation and the termination of Your access or use of the SA Chai Content.
